CODE OF ETHICS

The Waterlink (“WL”) business philosophy is based on total responsibility, accountability and performance. The foundation of WL's ethical business practices is the personal integrity of each of our employees and the high standards expected in each employee's personal and professional conduct. You have a responsibility to assist in WL’s progress through your pride of accomplishment, loyalty, integrity and cooperation. Our Code deals with both "doing things right" and with "the right thing to do" so as to maintain our personal and institutional integrity. We will achieve this through behavior in accordance with the principles outlined below:

 

Honesty -- to be truthful in all our endeavors; to be honest and forthright with one another and with our customers and our

                     community.

 

Integrity -- to say what we mean, to deliver what we promise, and to stand for what is right.

 

Openness -- to engage in frequent and clear communication between everyone is fundamental to our success. WL SHIPPING has

                         an "open door" policy, actively promoting honest communication as a means of problem solving.

 

Respect -- to treat one another with dignity and fairness, appreciating the diversity of our workforce and the uniqueness of each

                     employee. Every one of us is highly valued and respected and we are an integral part of the organization.

 

Trust -- to build confidence through teamwork and open, candid communication.

 

Responsibility -- to speak up -- without fear of retribution -- and report concerns in the workplace, including potential violations of

                                laws, regulations and company policies, and seek clarification and guidance whenever there is doubt.

 

Empowerment -- to encourage individual and team empowerment, linked with accountability that inspires creativity and strong

                               decision-making. Individual personal development and training creates strength in our organization and is positively

                               encouraged.

 

These principles serve as the backbone for Waterlink's Standards of Conduct.
